ACCEPTABLE USE POLICY

Echo360 is committed to providing its customers with the greatest transformative learning service possible. To accomplish this goal, Echo360 has adopted this Acceptable Use Policy (“AUP”).  This AUP outlines acceptable use of the products and services in the EchoSystem (“Services”).  All Echo360 customers, their users and all others who use any of the Services (“Customer”, or “User”) must comply with this policy.  By using or accessing any of the Services, Customers agree to be bound by the terms of the AUP.

Echo360 reserves the right to modify this AUP at any time, effective upon posting at https://echo360.com/. Customers are responsible for monitoring this website for any changes.  Continue use of the Services after changes to the AUP are posted on the website are deemed to constitute Customers’ acceptance of such new or additional terms of the AUP.

The Echo360’s services may be used only for lawful purposes.  Usage, transmission, distribution or storage of any materials while using the Services in violation of any applicable law or regulation is prohibited. 

Prohibited Use

Services. Customers will not, and will ensure that its Users do not:

  • reproduce, outsource, act as a service bureau, or otherwise distribute any portion of the Services;
  • use the Services in a manner that interferes with or disrupts the integrity, performance, or availability of the Service (for example, by conducting load tests or penetration tests without Echo360’s prior written consent);
  • attempt to gain unauthorized access to the Services or to Echo360’s or its third-party suppliers’ systems;
  • access any portion of the Services for the purpose of building a similar or competitive product or service, engage in any benchmarking, or provide access to the Services to a competitor of Echo360;
  • “frame” or “mirror” any user interface included in the Services;
  • reverse engineer, disassemble, or decompile any software included in any Echo360 property, or otherwise attempt to access or derive the source code from any part of the Services; or
  • alter, remove or violate any copyright or other intellectual property notice appearing in connection with the Services.


Systems.
 Customer will not and shall not permit its Users to do any of the following to the systems using the Services:

  • willfully tamper with the security of the Systems or tamper with other accounts of Echo360;
  • access data on the system not intended for the Customer;
  • log into a server or account on the System that the Customer is not authorized to access;
  • attempt to probe, scan or test the vulnerability of any systems or to breach the security or authentication measures without proper authorization;
  • render any part of the systems unusable; and
  • permit any third party to access the systems.


Security

User ID. Unless otherwise specified in a service order form, (i) each User will be assigned a unique User identification name and password (“User ID”) for access to and use of the Services; and (ii) User IDs are intended for use by the designated users only and cannot be shared. Customer is responsible for ensuring the security and confidentiality of all User IDs.

Access. The Service components require a current browser and a broadband/high-speed Internet connection, which Customer and its Users are responsible to obtain and maintain for accessing these resources and for their performance and reliability.

Use Location. Customer acknowledges and agrees that Echo360 controls the Services from its corporate offices in the United States of America.  Accessing the Services from jurisdictions where such access is illegal is prohibited under this AUP.  Customer agrees that Customer shall, at all times, comply with all laws related to the use of the Services regardless of the jurisdiction in which Customer or its Users are located or otherwise use the Services.

Risks of Using the Internet. Accessing or downloading content from the Internet, Purchase goods or services using the Internet, Transmitting confidential information over the Internet, or some activities that clients can perform when accessing the Internet may introduce viruses or other harmful features to the Customer’s computer and systems, or may cause loss to Customer, its users and other third parties that may access Customer’s service or products including, without limitation, accessing and viewing content on the Internet or otherwise available through the service that may be offensive to some individuals, or inappropriate for children. Customer will bear all risk associated with these activities and Echo360 will not have any liability for any claims, actions, losses, damages or proceedings arising out of or relating to such activities. Customer may minimize the risk of accessing illegal or offensive content by managing use of the Internet.  It is the Customer’s responsibility to implement these measures.

Monitoring. Echo360 may monitor the use of the Services for security and operational purposes, and to verify compliance with this AUP. Echo360 may suspend or throttle access to the Services if: (i) Echo360 reasonably believes that Customer or a User is in violation of this AUP; (ii) a User or Customer engages in excessive utilization of the Services which affects, or could reasonably likely (in Echo360’s opinion) affect, system availability or performance, or (iii) if Echo360 in good faith suspects that any third party has gained unauthorized access to the Services using a credential issued by Echo360 to Customer or its representatives.

Third Party Products

The Services may contain features designed to interoperate with certain third-party applications, systems, or services used by Customer but not supplied by Echo360 (e.g., third-party CRM or LMS software to which the services can export content) (“Third Party Products”). The Third-Party Products providers may require Customer to accept additional terms and/or pay a fee to use the products, which are terms between Customer and the third-party provider.  Customer is solely responsible for (i) obtaining and maintaining all rights, licenses, and credentials necessary to use such Third-Party Products, and (ii) installing, operating, updating, and maintaining the operation of such Third-Party Products.  Echo360 does not provide any warranties or indemnification regarding any Third-Party Products, whether such products or services are designated by Echo360 as “certified,” “validated” or otherwise. Echo360 does not have any liability for exchange of data or other interaction occurring between Customer and a provider of a Third-Party Product and disclaims all liability for acts or omissions of any third-party providers. If the availability of all or a portion of the Services depends on the corresponding availability of Third-Party Products, Echo360 will not be liable to Customer if changes in Third Party Products cause the unavailability. However, Echo360 will use commercially reasonable efforts to update the Services to procure continued interoperation with Third Party Products.  If the provider ceases to make the Third-Party Product available for interoperation with the corresponding Service features, Echo360 may cease providing such Service features without refund, credit, or other compensation.  Any third party’s use of information that Customer provides as part of using the Third-Party Products is subject to the privacy policy of that third party and Echo360 is not responsible for those privacy practices. If Customer installs or enables Third-Party Products for use with the Services, Customer agrees that Echo360 may allow those third-party providers to access Customer Content as required for the interoperation and support of such Third-Party Products with the Services.

Intellectual Property

Customer agrees that Echo360 may, at its election, terminate the services agreement upon providing written notice if Customer commits an act of infringement or misappropriation, as applicable, of Echo360’s intellectual property rights. 

Complaints/violations of AUP 

Any complaints regarding prohibited use or other abuse of the Services, including violations of this AUP, should be submitted via email to legal@echo360.com.  Please include all applicable information that will assist Echo360 in investigating the complaint. Echo360 reserves the right to decide whether Customer use of the Services and the Customer Content is appropriate and complies with this AUP. If Echo360 believes that there is a violation of this AUP which can be remedied by Customer removing certain Content or taking other action, Echo360 may request Customer to take such action.  However, if Customer does not take requested action or Echo360 believes there is a risk of harm to the Services, Users, or any third parties Echo360 may, at any time, without prior notice, directly intervene and take appropriate actions at its own discretion (including without limitation disabling or terminating the account or removing access or deleting the non-compliant Content).
